ZenScope Terms & Conditions

1. Parties and Agreement

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Zenscope Technologies Private Limited (“ZenScope”, “we”, “our”, “us”) and the educational institution or authorized representative (“School”, “Client”, “you”) accessing or using the ZenScope Platform.

By registering, accessing, or using the Platform, the School agrees to be bound by these Terms. If you do not agree, do not use the Platform.

2. Platform Description

ZenScope provides an AI-powered school management SaaS platform comprising modules including but not limited to:

3. Subscription and Access

• 3.1 Access to the Platform is granted on a subscription basis as per the plan selected by the School.
• 3.2 Subscription fees are payable in advance as per agreed billing cycles. Non-payment may result in suspension of access.
• 3.3 ZenScope reserves the right to modify pricing with 30 days' written notice.
• 3.4 Subscription terms and limitations are defined in the applicable Order Form executed between the parties.

4. Acceptable Use

The School agrees not to use the Platform for unlawful purposes, reverse engineer systems, or gain unauthorized access.

5.School's Data Responsibilities

The School is solely responsible for ensuring the accuracy, legal authorization, and parent consent for uploaded student records.

6.ZenScope's Intellectual Property

The Platform, software algorithms, AI models, and design interfaces remain the exclusive IP of Zenscope Technologies Private Limited.

7.School's Data Ownership

All institutional and student data uploaded or generated by the School through the Platform remains the sole property of the School.

8. Platform Availability

ZenScope targets high uptime and uses reasonable commercial efforts to maintain service availability.

9. Bus Tracking Disclaimer

GPS-based bus tracking precision relies on network coverage and device condition.

10. Digital Certificate Disclaimer

Digital certificates validate recorded institutional issuance status based on school-submitted records.

11. Confidentiality

Both parties agree to maintain confidentiality of proprietary institutional data and platform architecture.

12. Limitation of Liability

Total cumulative liability is limited to fees paid in the 3 months prior to a claim.

13. Indemnification

Schools agree to hold ZenScope harmless from claims arising from illegal use or unauthorized data uploads.

14. Security Responsibilities

Schools are responsible for maintaining credential security and reporting unauthorized access.

15. Security Incident Notification

In case of a security incident, ZenScope will notify affected institutions within a reasonable timeframe.

16. Support Access

Support access to accounts is permission-based, temporary, and fully audit logged.

17. Termination

Subscriptions may be terminated with written notice at billing cycle end. Data is exportable for 30 days post-termination.

18. Modifications to Terms

Material changes to terms will be communicated at least 30 days prior to effective date.

19. Governing Law and Disputes

Terms are governed by Indian law. Unresolved disputes shall be subject to the courts of Khammam, India.

20. Severability

If any provision is unenforceable, remaining provisions stay in effect.
